1. Parties

These Terms of Use (“Terms”) govern access to and use of Packalytics, a warehouse packing decision-support software product, and related websites, demos, and services (together, the “Service”).

The Service is provided by:

“You” means the company or other legal entity that accesses or uses the Service, and its authorised users. Packalytics is intended for business customers (B2B) — for example 3PLs, warehouses, and logistics operators — not for consumers.

By accessing or using the Service, creating an account, accepting these Terms (including via checkbox), or running a plan in a guest or demo environment, you agree to these Terms on behalf of your organisation. If you do not agree, do not use the Service.

2. Description of the Service

Packalytics provides decision-support software for warehouse packing and related planning, which may include suggestions for pallet, trailer, container, and picking layouts or sequences.

Important:

Packalytics is software for planning and optimisation support. It is not a safety system, certified control system, or substitute for trained warehouse personnel, equipment manuals, or applicable transport and workplace rules.
Outputs (including packing plans, load suggestions, and related visualisations) are advisory. They do not guarantee physical stability, legal compliance for transport, equipment compatibility, or workplace safety.
The Service currently includes a soft-open / guest Preferred demo. Demo environments are not production WMS and must not be treated as such.

We may change, suspend, or discontinue features of the Service (including demos) with reasonable notice where practicable.

3. Demo, free access, paid pilots, and future SaaS

Tier	Description
Demo / guest / soft-open	Free or limited access for evaluation. Not for production use. No SLA.
Paid pilot	Time-limited evaluation under a separate order form or pilot agreement.
Future paid SaaS	Subscription access under these Terms plus any order form, pricing page, or SaaS agreement then in force.

No reliance for production without a paid agreement. You may not rely on Packalytics as a production warehouse management, packing execution, or safety-critical system unless you have a paid commercial agreement with GALT that expressly covers production use. Soft-open, guest Preferred, and free demos are for evaluation and demonstration only.

Footer and in-app notices stating that the Service is a GALT demo — not for production use form part of these Terms for demo access.

4. Warehouse operations, personal injury, and workplace responsibility

You and your employer (or the warehouse operator) are solely responsible for:

Arbetsmiljö (work environment) and occupational health and safety
Stacking, load securing, and physical packing execution
Forklifts, pallet jacks, conveyors, racking, and all other equipment
Compliance with transport law, carrier rules, and customer shipping requirements
Training, supervision, and on-site verification of any plan before execution

Packalytics does not:

Assume responsibility for injuries, property damage, or unsafe loads arising from use or misuse of outputs
Guarantee that any plan is safe, stable, executable, or legal for road, sea, air, or rail transport
Replace physical inspection, engineering judgement, or certified load-securing procedures

Advisory only. Any decision to execute a packing or loading plan remains yours. You must validate plans against site rules, equipment limits, cargo characteristics, and applicable law before use.

5. Accounts and acceptable use

You must provide accurate account and booking information and keep credentials confidential. You are responsible for activity under your accounts and guest sessions initiated by your organisation.

You agree not to:

Use the Service for unlawful purposes or to violate others’ rights
Attempt to reverse engineer, scrape, overload, or disrupt the Service except as permitted by mandatory law
Misrepresent outputs as certified, insured, or production-approved when they are not
Upload malware or content you have no right to process
Use demo access to operate live production warehouses without a paid agreement
Circumvent access controls, usage limits, or acceptance gates

We may suspend or terminate access for material breach or security risk.

6. Intellectual property

GALT and its licensors own all rights in the Service, software, models, UI, documentation, and branding (including Packalytics and GALT marks).

You receive a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business evaluation or, if under a paid agreement, for the contracted purpose — solely in accordance with these Terms.

You retain rights to your own data and content you upload. You grant GALT a licence to process that content solely to provide and improve the Service (and as described in our Privacy notice). Feedback you provide may be used by GALT without obligation to you.

7. Subscription, fees, and cancellation (when paid SaaS applies)

When you purchase a paid pilot or subscription:

Fees, term, and billing are set out in the applicable order form, invoice, or pricing page.
Unless otherwise agreed in writing, either party may cancel a recurring subscription by written notice (email to info@packalytics.se is sufficient) with thirty (30) days’ notice before the end of the then-current billing period.
Cancellation takes effect at the end of the paid period; no pro-rata refunds unless required by law or expressly agreed.
On termination, your right to access paid features ends; we may delete or anonymise account data per our Privacy notice and retention practices.
Demo / free access may be withdrawn at any time.

Until a paid product is live, this section applies prospectively to future SaaS and paid pilots.

8. Disclaimers

To the fullest extent permitted by Swedish law:

The Service is provided “as is” and “as available”.
We do not warrant uninterrupted or error-free operation, or fitness for a particular production purpose, unless expressly agreed in a paid written agreement.
We do not warrant that packing plans are safe, complete, or compliant with any transport or workplace standard.
We do not claim certifications, insurance coverage, or regulatory approvals that we have not expressly stated in writing.

9. Limitation of liability

To the fullest extent permitted by Swedish law:

GALT is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost production, downtime, cargo damage, recall costs, or third-party claims, arising from use of the Service or reliance on its outputs.
GALT is not liable for personal injury or property damage arising from warehouse operations, stacking, equipment use, or execution of packing/loading plans, except to the extent such limitation is prohibited by mandatory law.
Liability cap: GALT’s aggregate liability arising out of or relating to the Service is limited to:
- for paid access: the fees you paid to GALT for the Service in the twelve (12) months preceding the claim; or
- for free / demo / guest access: SEK 10,000.
Nothing in these Terms excludes liability that cannot be limited under mandatory Swedish law (including liability for intent or gross negligence where such exclusion is invalid).

10. Privacy and cookies

Processing of personal data is described in our Privacy notice. Cookie use is described in our Cookie policy. Those documents form part of the information we provide under applicable data-protection law; acceptance of these Terms includes acknowledgment that you have had the opportunity to read them.

11. Changes

We may update these Terms from time to time. Material changes will be indicated by a new version identifier (e.g. terms_v2) and, where required, we will ask you to accept the updated Terms before continued use. The “Last updated” date and version above identify the current draft version.

12. Governing law and disputes

These Terms are governed by the laws of Sweden, without regard to conflict-of-law rules.

Disputes arising out of or relating to these Terms or the Service shall be resolved by the courts of Sweden. Preferred venue is the district court with jurisdiction over Båstad (or, if that court lacks jurisdiction, Stockholm District Court), unless mandatory law requires otherwise.
